Terms of Sale

These Terms of Sale ("Terms") govern the purchase and use of software modules sold by ModuleSmith ("ModuleSmith," "we," "us"). By purchasing, downloading, or installing a ModuleSmith module, you agree to these Terms.

1. Definitions

• "Module" means the ModuleSmith software product you purchased (for example, Printer Fleet Manager for Odoo), including its documentation.
• "Maintenance & Support" or "M&S" means the service plan described in the ModuleSmith Maintenance & Support Policy.
• "Direct Purchase" means a purchase made directly from ModuleSmith (through modulesmith.com or by direct invoice).
• "Odoo Apps Purchase" means a purchase of a ModuleSmith module made through the Odoo Apps Store operated by Odoo S.A.
• "Production Database" means a single Odoo database used in live operation of your business.

2. Scope; Odoo Apps purchases

These Terms apply in full to Direct Purchases.

Odoo Apps Purchases are also subject to Odoo's applicable marketplace terms, including Odoo's purchasing and refund rules. For an Odoo Apps Purchase, where these Terms conflict with Odoo's marketplace terms on payment, delivery, or refund mechanics, Odoo's marketplace terms control for that transaction. In all cases the license grant (Section 4) and the Maintenance & Support Policy apply to your use of the Module.

On the Odoo Apps Store, each Odoo version of a Module is a distinct product; purchasing a Module for one Odoo version grants access to that version only (see the Maintenance & Support Policy for how major-version builds are provided to Direct Purchase customers with an active plan).

ModuleSmith is an independent vendor. Odoo is a trademark of Odoo S.A. ModuleSmith is not affiliated with, partnered with, or endorsed by Odoo S.A.

3. Ordering, payment, and delivery

1. Orders. An order is accepted when we deliver the Module or send you a license key, whichever comes first. We may decline any order before acceptance.
2. Payment. Prices are stated in US dollars. Payment for Direct Purchases is due as stated on the order or invoice. Orders are currently arranged by email to [email protected].
3. Taxes. Prices exclude any applicable taxes, which are your responsibility unless we are required to collect them.
4. Delivery. Delivery is electronic: a download of the Module package and a license key delivered by email. Delivery is complete when we send the download link or package and key to the email address on the order. Nothing physical is shipped.

4. License

1. License type. Modules are licensed, not sold, under the Odoo Proprietary License v1.0 (OPL-1), supplemented by this Section.
2. Scope. One purchased license permits use of the Module on one Production Database, plus a reasonable number of non-production (development, staging, testing) databases operated to support that Production Database. Each additional Production Database requires an additional license. This scope applies to Direct Purchases; for Odoo Apps Purchases, the Odoo Apps Store's own terms govern where they differ.
3. Users. No per-user fees. A licensed database may be used by an unlimited number of users within your organization.
4. Source code and modifications. The Module is delivered in source form, as is normal for Odoo modules. You may modify it for your own use in accordance with OPL-1. ModuleSmith has no obligation to support modified code (see the Maintenance & Support Policy).
5. Restrictions. Consistent with OPL-1, you may not publish, distribute, sublicense, sell, rent, or otherwise make the Module or modified copies of it available to any third party. If you are a hosting provider, integrator, or MSP deploying the Module for a client, the license must be purchased for, and belongs to, that client's database.
6. Perpetual use. Your license to use the purchased version of the Module does not expire. Expiry or non-renewal of Maintenance & Support does not terminate your license, and the Module continues to function.

5. Pricing; Maintenance & Support renewal

1. The current price of each Module is shown on modulesmith.com or the Odoo Apps listing (Printer Fleet Manager: $499 one-time).
2. Every purchase includes 12 months of ModuleSmith Maintenance & Support from the delivery date, as described in the Maintenance & Support Policy.
3. After the included period, Maintenance & Support may be renewed for $149 per year. Renewal is optional. Choosing not to renew does not affect your right to continue using the version you have, and the Module continues to operate.
4. We may change prices for future purchases and future renewals; a price change never applies retroactively to a period you have already paid for.

6. Maintenance & Support; defects

Maintenance & Support benefits and exclusions are defined in the ModuleSmith Maintenance & Support Policy, which is part of these Terms.

Independent of Maintenance & Support status: verified defects that prevent the purchased Module from functioning as documented are addressed by ModuleSmith regardless of whether you have an active Maintenance & Support plan.

7. Your responsibilities

You are responsible for:

• running a supported Odoo version and edition as stated in the Module's documentation and version matrix, on a deployment that permits third-party modules (Odoo.sh or on-premise; Odoo Online does not permit installation of third-party Python modules);
• maintaining backups of your database and filestore, including before installing or upgrading any module;
• the security and administration of your own servers and network;
• compliance with laws applicable to your use of the Module.

8. Third-party software and compatibility

The Module is designed to work with the Odoo versions stated in its documentation. Odoo itself, and any third-party modules you run, are not ModuleSmith products. We do not warrant compatibility with arbitrary third-party modules or customizations, although Maintenance & Support includes reasonable compatibility assistance as described in the Maintenance & Support Policy.

9. Limited warranty; disclaimer

1. Limited warranty. We warrant that, for 90 days from delivery, the unmodified Module will perform materially as described in its documentation when used on a supported Odoo version. Your exclusive remedy for breach of this warranty is: (a) repair or replacement of the Module, or (b) if we cannot reasonably repair or replace it, a refund of the purchase price under the Refund Policy.
2. Disclaimer. Except as stated above, the Module is provided "as is", and to the maximum extent permitted by law we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

10. Limitation of liability

To the maximum extent permitted by law:

1. Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunity, even if advised of the possibility.
2. ModuleSmith's total aggregate liability arising out of or relating to a Module or these Terms is limited to the amounts you paid to ModuleSmith for that Module (including M&S fees) in the 12 months preceding the event giving rise to the claim.
3. Nothing in these Terms limits liability that cannot be limited by law.

11. Privacy

Our handling of personal data and of the limited licensing telemetry sent by the Module is described in the ModuleSmith Privacy Policy. The Module does not transmit your business, printer, network, or customer data to ModuleSmith.

12. Termination

We may terminate your license if you materially breach Section 4 and do not cure the breach within 30 days of written notice. On termination for breach, you must stop using the Module and remove it from your systems. Sections 9 through 15 survive termination.

13. Export and sanctions

You represent that you are not prohibited from receiving software under applicable US export control and sanctions laws.

14. Governing law and disputes

These Terms are governed by the laws of the State of Illinois, USA, without regard to conflict-of-law rules. The parties will first attempt in good faith to resolve any dispute informally by contacting each other. Courts located in Illinois have exclusive jurisdiction over disputes not resolved informally.

15. General

• These Terms, the Maintenance & Support Policy, the Refund Policy, and the Privacy Policy are the entire agreement for your purchase and supersede prior discussions.
• If any provision is unenforceable, the rest remains in effect.
• You may not assign these Terms without our consent, except to a successor of your business; we may assign to a successor of ours.
• We may update these Terms for future purchases; the version in effect at the time of your purchase applies to that purchase.
